What you don’t know about Royal Dutch Shell’s Profit Warning

It was raised at the highest levels of Shell and of the Financial Conduct Authority some months earlier, in between the announcement of Peter Voser’s early retirement and the announcement of the Q3 results.

Shell shareholders have been faced with a series of shocks, one stunning announcement by Royal Dutch Shell Plc after another.
All rather mysterious and without any credible explanation.
Started with the announcement of Voser’s decision to take early retirement from Shell at the age of 55, as a lifestyle change. It was said at the time to have “stunned investors.”
Next came the surprise announce of Ben van Beurden as his replacement. No one guessed that he was even in the race for the top job at Shell.
Within days of Ben van Beurden taking over as Chief Executive Officer on 1st Jan 2014, Shell announced the sudden mysterious departure of his Executive Director colleague, Peter Rees QC, the global head of Shell’s Legal Department.
Days later, Shell took the markets by complete surprise by announcing a profits warning accompanied by an avalanche of bad news.
It seems highly probable that these two seismic events – the sudden exit of Rees and the issuance of a profits warning – were connected.
Was Peter Rees for or against the profit warning, issued on advice from lawyers?
I can exclusively reveal today that the question of whether Shell was legally obliged to issue a profits warning did not first arise in relation to the final quarter. It is fair to conclude, as would be expected, that the Executive Directors and the Company Secretary of Royal Dutch Shell plc knew long before investors that the company was in serious difficulties of crisis proportion and kept that information secret.  It is also fair to speculate, therefore, that at least one executive director took a life changing decision based on that insider knowledge.

Shell looks to science for arctic help

HOUSTON, Feb. 11 (UPI) —Michael Macrander, a chief scientist for Shell in Alaska, said engagement with the scientific community could help his company navigate arctic waters. Shell Chief Executive Officer Ben van Bueden said last month he was “not prepared to commit further resources for drilling in Alaska in 2014″ following a court decision challenging a 2008 lease for acreage in the Chukchi Sea. Shell’s arctic campaign was plagued by problems with its drilling rigs, Noble Discoverer and Kulluk, and the cost associated with managing operations in the harsh arctic climate. Macrander told delegates at an arctic technology conference in Houston the arctic problems could be answered with science-based solutions.

Research Councils should steer clear of strategic partnerships with individual firms

Firms like Shell can and should collaborate with taxpayer funded researchers. But no single organisation should be granted privileged access to the processes by which priorities for public research funding are set.

My fellow blogger Alice Bell posted about a new tie-up between NERC (the UK Natural Environment Research Council) and Shelllast week. The tie-up takes the form of a formal Memorandum of Understanding, which – in Shell’s words – is intended “to maximise the benefits from our mutual interests in areas of long-term research, postgraduate training and knowledge exchange through jointly funded and supported research projects”. “Strategic partnerships” are all the rage between research performing organisations and companies (NERC is a significant performer of research through major institutes such as the British Antarctic Survey but its primary role is as a funding agency) and this is not NERC’s first such partnership (that was with engineering partnership Arup), but it’s the most high profile announced so far. The post generated some debate below the line, raising several issues which are worth exploring further.

Worried that shenanigans might reach beyond financial markets, the EC expanded its proposal to encompass commodities, including oil. In May, the EC and European Free Trade Association Surveillance Authority unveiled investigations into suspicions that representatives of Shell, BP, and Statoil had distorted trading information they provided Platts. Results of those probes have yet to be reported.

STORYTELLING USING MOTION MEDIA
From the fourteen (14) choices of links shown where we are asked to choose our favorite spot, I included a link to the spot followed by a short written description of why, in my opinion this spot was the most successful.
Though the concept of success could take different forms or meanings or connotations on among different minds or individuals, as the concept of success, could be moulded to an image fit to their own personal perceptions and biases,  I would try, just for this project, to give a quantitative measurement on why I thought this link was the most successful, and I based my assessment for the success of the link on how many number of times I  personally wanted it visited and watched.
I have this link catching most of my attention,
This article describe patterns of migration of different people all around the globe and at different and continuing epochs.  The abstract utilization of red dots and accompanying lines next to each dots explicitly signified movements of people to different destinations around the globe at various times in world's history. Visualizing this abstract idea through animating trails in 3d space and application of the background music which perfectly suited the presentation is truly awesome.
For me the most effective use of After Effects started from the 38th second to 45th where the continuing shift from 2d to 3d of the time bar was brilliantly executed.
If  I may add, this timely relevant article in l-studio.  The video has this link,
is likewise a classic example of a message presented in abstract format pertaining to the effects of plastic disposal in the ocean and think what we can do to curb this garbage "vortex" from getting worse.
In similar passion, I would want to share a collection of seven photographs taken by Chris Jordan which I think will bring us  to a higher level of awareness how grave the plastic pollution is,  not in abstract but this time shown in pictures and be inspired to bring life to those pictures using After Effects animation techniques.

Screen Shot 2013-10-01 at 07.56.54Oil prices in the United States hover near $100 per barrel and overall domestic production of oil and natural gas is soaring. With all this in mind, you’d assume the environment would be ripe for Big Oil to produce gushing profits.

Royal Dutch Shell completely whiffed in the U.S. and North America. Its Americas segment posted a $1.4 billion net loss in the fourth quarter and a $3.7 billion net loss for all of 2013.

Will Shell’s Prelude FLNG project be another white elephant?

I sincerely hope for Shell that Prelude does not turn out to be yet another white elephant. …this spirit of ‘Olympic targets, Moonshots, if you can think it you can do it’ has also led to disasters for Shell USA in Alaska, huge write offs in the USA on shaleoil, a nonfunctional EP Europe when it was launched, the reserves crisis of Shell, the cost overruns in Sakhalin, Pearl and Kashagan by a factor 3-8 etc etc.

On 10 January we published an article under the headline: Royal Dutch Shell Prelude to disaster?
It was based on information received from a Prelude insider source voicing deep concern over the safety of the construction of Shell’sPrelude FLNG flagship vessel, said to be the biggest ship in the world.
Since then, further information has been obtained, including more information from the same whistleblower.
Shell has to a large extent staked it future on this mega project.
Because of its importance, I supplied the additional information to two oil and gas industry experts.
Printed below are the comments received in response.

EXPERT COMMENTS ON PRELUDE FLNG PROJECT

Since your posting on Prelude a few weeks ago I started to think a bit on this project and like to share my concerns with you.
Reference: OTC 10791 (attached)
Meteorology goes far above my head but when I read:  ‘Together with tropical cyclone Orson (1989), this storm has led to a reassessment of metocean design criteria for the region.’ I get worried.
Ideally you would want to scale-up from a small FLNG to the real thing but this is not economic. Therefore this project is taking a leap of faith. Being an engineer myself I can go along with this in many cases provided the leap is not too great! We all know that there are always uncertainties and despite people like Hofmeister bleating around that Shell would never do anything dangerous I have seen too many disasters happen where all the calculations said it would be OK but in the end it still went wrong.
In these huge projects they will encounter problems not foreseen in an early stage. Changes will be made and one cannot oversee all the consequences. And when budgets are made available and a project is started, the pressure to do it cheaper or to absorb overruns on various parts will lead to optimisation and cornercutting. The project manager will always look for optimisations that he thinks he can get away with. It will be progressively difficult for some minor design engineer to stand up and say ‘STOP, we are going over the line’. That line often is a fuzzy one and the show must go on. If a manager in this project will be transferred soon because his job is nearly finished, he may have a different attitude towards certain standards than a newcomer! All very obvious but it needs to be said.
So, you had some warnings from a concerned insider in the project. It is very worrying that someone like this feels he should approach you rather than sort it out internally. And if there is one such a guy, I guarantee there will be more. But they all have a wife and family to look after and problems are likely to occur long after they are gone so what the hell. Most are people on a short service contract anyhow, and I know few of those that would to stand up in a great fight to get the standard up. I also know many project managers (and not even the worst ones) who are behaving like great bullies. They have to be in order to get the thing ready, on time and within budget. Complaining engineers are seen as a nuisance and dealt with….

It becomes clear that the Prelude will be a huge weathervane of nearly 500 m long. The turret is built in Dubai. When you read in link 2 there is a statement that I have heard before in the roaring 90s:
“Such projects help us to take forward a process of changing mind sets and provide new challenges for the future. It helps us exemplify the driving thought behind the undying “Can Do” spirit of Dubai-“Don’t think past-Think future, Think opportunities,”which has formed the basis for our business and strategic outlook” he added.
I give it to Dubai that they have achieved some amazing results (albeit that they had to be rescued by their rich neighbours when building the Burj Khalifa…), but this spirit of ‘Olympic targets, Moonshots, if you can think it you can do it’ has also led to disasters for Shell USA in Alaska, huge write offs in the USA on shaleoil, a nonfunctional EP Europe when it was launched, the reserves crisis of Shell, the cost overruns in Sakhalin, Pearl and Kashagan by a factor 3-8 etc etc.
In the days when other monsterprojects were launched such as the development of BLNG, Brent, Troll, Draugen etc the preparation and thinking time was much greater and done inhouse. The hyping was less, these were seen as very complex jobs to be designed and made to work safely.
The technical top of Shell EP consisted largely of dutch engineers (finance and HR were in the hands of the brits…)  under the ‘leadership’ of the mother of all bastards Jan van Dam. He was the ultimate brilliant asshole and he personally scared all the directors so much that they made sure things were thought through, else he would personally destroy them. I am not advocating a return to get a bully like him back but rather a return to high standards. I also know this will not happen anymore. Shell has chosen to rely on the outside contractor world. And just believe me, I heard this from an old codger: ‘If you cannot do it yourself you also cannot manage it’. Only whenever there is a competitive market out there, Shell should get out as fast as possible. But this is all new stuff!
When you read the attached file (GulfofMexico.pdf) it becomes clear that using an FPSO in the GOM has been a long and difficult process and the destructive force of hurricanes keeps being underestimated! An FLNG is much larger, much more complex and technically much more dangerous (higher pressures, gas vs oil, extremely low temperatures for the LNG) as well as vulnerable to pirates and terrorists.
It is to me an example where common sense has been put aside and the herd followed the leader ‘we need elephants’. I sincerely hope for Shell that Prelude does not turn out to be yet another white elephant. This is the beauty as well as the danger of merging of RD and Shell under one CEO. Decisions can be made faster but there is less internal challenge. It is clear I would favour the old CMD structure where the challenge was more balanced. And I cannot recall any project that was delayed ‘waiting on CMD’!

It would be very interesting if someone in your audience could lift a bit of text out of the Field Development Plan (FDP) that deals with operating issues, downtime estimates, decision trees when and how to pull off location. How is maintenance done? On site or in a dock?
And if they then throw in some views from the conceptual design on the stress levels and fatigue in the Prelude we have basically all the important parameters to judge if this is a sound project (or not). The mere fact that there is no cost figure floating around is ominous. For sure Shell has a figure or rather a range on which the FID (Final Investment Decision) is made. This must include an estimated operating cost and have data on expected downtime for weather, maintenance etc.
And I am curious where Shell will book the profits (if any): is it on the FLNG project, the transport on LNG carriers or the sale of LNG to customers? It all depends on the various tax regimes and the value one puts to the gas when it comes out of the field. I assume Shell will put that value at (near) zero since there would be no development if the field did not get developed. The tankers may make a packet and presumably are taxed outside Australia in a tax heaven…. The same was done 40 years ago in Brunei, so Shell knows the trick to maximise their own take. I wonder how many tax dollars Australia will receive. I bet they expect much more than they will get in the end!

When discussing Prelude with an expert on offshore engineering he came back with these points and this only enhanced my concerns :
A few thoughts (in no particular order)
(1) This is the largest vessel ever built
(2) There is no real world data for a vessel of this size
(3) There is a limited amount of weather data for the area
(4) There is very limited data available on the magnitude and direction of the wind, waves, and currents that might be generated by a cyclone. Vessels/crews do not currently remain in place during cyclones to take measurements
(5) The data that does exist (OTC Paper 10791) suggests that the waves may come from a different direction than the wind, but the weathervaning design will cause the vessel to head into the wind rather than the sea.
(6) The vessel does not have the capability to disconnect or flee in an emergency
(7) This is a very remote area which would normally seem inappropriate for testing of new technology
(8) Nobody has ever built a floating LNG plant before. LNG plants on land are not required to survive the dynamic forces imposed by movement, or the effects of waves breaking over them, or the very high winds found only far offshore
(9) Computer modelling works very well only where there is sufficient real world data against which it can be compared
(10) “Sheltering in place” with the crew removed has caused many vessels in the Gulf of Mexico to break free or sink
(11) Comparisons with supertankers of a similar size are not valid because these powered vessels are able to manoeuvre to minimise the impact of storms, wind and waves and usually avoid cyclones completely
(12) Freak waves significantly larger than those predicted by existing models have been documented in those areas of the world for which suitable data exists.
(13) In the event that the vessel breaks free, and assuming all the wells can be shut in to avoid a blowout, there are probably no tugs in the area capable of bringing the vessel under control in the time available before it is driven onto the shore
(14) The first FPSOs in the US Gulf of Mexico have only recently been installed (September 2012), and little data on the impact of major hurricanes is available

But in reality many benchmark prices for oil and other commodities are merely estimates based on incomplete information from unregulated, illiquid markets. …the European Commission last year raided BP, Royal Dutch Shell, Statoil (all oil firms) and Platts (the biggest PRA) in an investigation of possible market-rigging. An American regulator, the Commodity Futures Trading Commission, is investigating price-fixing by trading houses and oil companies. Many see similarities to scandals involving financial benchmarks such as LIBOR, which purported to track the price of loans between banks in London, but turns out to have been manipulated with gusto.

UK environmental science: In association with Shell

Today, the Natural Environment Research Council (Nerc) signed a ‘Memorandum of Understanding’ with Shell. My thanks to Greenpeace for the tip.
From what I can make out, the memo doesn’t contain specific details of joint activities; it’s more a formal expression of shared interests and desire to interact more. A few eyebrows were raised when a similar agreement was signed with Arup in November, but such memos are not common and tend to be reserved for building relationships with similar public institutions in other countries.
You might well feel outraged by this. The partnership will, according to Nerc’s press release, allow Shell access to the knowledge and expertise drawn from Nerc’s £330m portfolio of research activities. What right does Shell have to such access, specifically? (Even if our Business secretary used to work there). Aren’t such resources a public good? It also declares an interest in working together ‘to understand the challenges each faces and identify where research may be able to contribute’. Why does Shell get such a role in helping set Nerc research agendas? What about scientists, and other industries, and civil society at large? And surely they, of any possible industrial partner, have a massive conflict of interest?
The deal, however it works out, offers Shell a lot of greenwash too, and a chance to tap into the immense cultural and social capital science holds. The odd bit of sponsorship of the arts doesn’t come close. Centrica’s hopes to line up academics to make its case on fracking looks tiny. This is the biggie. Forget sponsoring the Science Museum’s climate gallery, the nexus of British environmental science now comes branded in association with Shell. They’ve captured the castle. They’ve caught the scientific energies we have to understand our planet.
But relax. Put the climbing gear down, there’s no need to occupy Nerc’s office roof yet. This is business as usual for modern science. It’s not news, it’s normal.
It can be tempting to label oil and gas companies as anti-science. They’re not, even if the Royal Society once had to write a strongly worded letter to ExxonMobil. In many ways, they are very pro-science, because they know the power select parts of it offers them (just as they know how useful it is to keep bits as underfunded and discredited as possible).
There’s the new Nerc centre for doctoral training in oil and gas, and their recent re-brand to being in ‘The Business of the Environment.’ Or there’s the Shell geoscience lab in Oxford and the BP material science centre in Manchester. The new head of Imperial College is on the board of Chevron and the new President of the Royal Academy of Engineering is a non-executive director of BP. And these connections are not new. Lord Browne, for example. We can go further back. Indeed, it’s the origin story of many scientific institutions. There’s a reason why so much earth science happens in aschool of mines.
And it’s maybe a good thing. Ron Oxburgh helped put climate change on Shell’s agenda. Similarly, Iain Gillespie, Nerc’s director of science, argues their work can make the oil industry greener. Science needs to get its money from somewhere, and we’re not going to quit fossil fuels yet. Working with Shell is part of Nerc’s attempt to open their work more, drawing on non-academic expertise and sharing their work more effectively. They are trying to ‘co-design and co-deliver new environmental science’ as their strategy plan puts it. Many will say there isn’t a story here. It’s normal, it might even be helpful.
So, should we shrug it off as business as usual, or be outraged?
Personally, I don’t like the idea that Shell is being offered a special place at the Nerc table. I also think it is business as usual but, if anything, this latter point upsets me the most, as does the fact the research councils think this sort of work can be slipped out with as little fuss as possible. It’s not a scandal. But it should be.
It’s become normal to side with the oil and gas industry in UK science, not challenge it. It’s become usual to assume no one, not even the green movement, will care. It’s become ok to give into the idea that science is there to serve a narrow set of economic interests and look to those interests for leadership, rather than to the public or scientific expertise itself. This is the biggest problem, far beyond any memos. If Nerc want to run with a ‘co-design’ approach to research, I approve, but they need to consider who they co-designing with, to what ends. If they want, in the words of today’s press release, to ‘support economic growth’ there are other things they could be growing than the oil and gas industry. Working with industry is one thing, but working with Shell is another, and they have to work with more than just industry too.
Science doesn’t have to be this way. We need to do more than add a green tinge to fossil fuels; we need to put as much effort as possible into quitting them. Publicly funded science should be doing something more visionary. If Shell need public scientific support, we could offer them some social scientists and engineers to help them transform to selling renewables. If Nerc wants to sign memos of understanding with anyone, they should try looking to their own workers and the British public at large.
Let yourself get angry about the Shell/ Nerc deal. See what new science might emerge from that anger.
